Terms of Use

Effective Date: March 19, 2026 · Version 2.0

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and 16515924 Canada Inc., operating as StageX ("StageX", "we", "us", or "our"), a corporation federally incorporated under the laws of Canada with its principal place of business in Toronto, Ontario, Canada.

By creating an account, accessing, or using the StageX application ("App") and related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Platform.

Part A: General Terms (Applicable to All Users)

1. Acceptance of Terms

By tapping "I Agree" or otherwise accessing or using the Platform, you agree to these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform. These Terms apply to all users, including viewers, fans, creators, and subscribers. We may update these Terms from time to time as described in Section 21 below.

2. Platform Overview

StageX is a content platform enabling creators to share video content, audio recordings, and text-based posts with their audience. The Platform operates on a subscription model where creators may offer exclusive content to paying subscribers, alongside free content accessible to all users. StageX also offers platform-level subscription passes that provide enhanced features to users and creators.

3. Revenue Model & Creator Compensation

(a) Creator Subscription Revenue Split.Creators earn ninety percent (90%) of net subscription revenue generated from their subscribers. "Net subscription revenue" means the gross subscription amount minus payment processing fees charged by our third-party payment processor (currently Stripe, which charges 2.9% plus USD $0.30 per transaction). StageX retains the remaining ten percent (10%) as a platform service fee.

Example: On a $9.99/month subscription, Stripe deducts approximately $0.59 in processing fees. The remaining $9.40 is split 90/10, resulting in $8.46 to the creator and $0.94 to StageX.

(b) Platform Subscription Passes. Revenue from StageX platform passes (Fan Pass, StageX Pass, and StageX+) is retained entirely by StageX. Platform passes do not affect creator subscription revenue.

(c) Payout Schedule. Creator earnings are paid out on a weekly basis via Stripe Connect, subject to a minimum payout threshold of ten United States dollars (USD $10.00). If your accrued balance does not meet the minimum threshold, your earnings will carry over to the next payout cycle.

(d) Payout Accounts. Creators must establish and maintain a valid Stripe Connect account to receive payouts. StageX is not responsible for payout delays or failures caused by incomplete, inaccurate, or unverified Stripe account information.

(e) Taxes. You are solely responsible for determining and fulfilling your tax obligations arising from any revenue earned through the Platform, including income tax, sales tax, GST/HST, VAT, or any other applicable taxes in your jurisdiction.

(f) Creator Price Changes. Creators may update their subscription price at any time. Existing subscribers will remain at their original subscription price unless they cancel and resubscribe. New subscribers will be charged the updated price.

(g) Platform Pass Price Changes. StageX reserves the right to adjust the pricing of platform passes. Existing subscribers will be notified at least thirty (30) days prior to any price change taking effect. Continued use after the price change constitutes acceptance of the new price.

4. Platform Subscription Passes

(a) Available Passes. StageX offers the following platform subscription passes:

  • Fan Pass (USD $0.99/month): Unlimited video and audio streaming with no daily viewing limits.
  • StageX Pass (USD $1.99/month): Everything in Fan Pass, plus ten (10) video uploads and fifteen (15) audio uploads per month, and priority support.
  • StageX+ (USD $4.99/month): Everything in StageX Pass, plus unlimited video and audio uploads, and the ability to edit video covers, trailers, and audio previews after publishing.

(b) Free Tier Limits.Users without a platform pass are subject to daily viewing limits of thirty (30) minutes of combined video and audio streaming per day. The daily limit resets at midnight in the user's local timezone. Unused viewing time does not carry over to subsequent days.

(c) Upload Limits. Users without a platform pass may upload up to four (4) videos and four (4) audio tracks per calendar month. Upload limits reset on the first day of each calendar month.

(d) Free Trials. StageX may offer a seven (7) day free trial for platform passes. Each user is entitled to one (1) free trial across all pass tiers. If you cancel during the free trial period, you will not be charged. At the end of the trial period, your payment method will be charged the applicable subscription price unless you cancel before the trial expires.

(e) Cancellation. You may cancel your platform pass at any time through the Platform settings. Cancellation takes effect at the end of your current billing period. You will retain access to pass benefits until that period expires.

(f) No Refunds. All platform pass payments are non-refundable. No refunds or credits will be issued for partial subscription periods, except as required by applicable law.

(g) Pass Upgrades. When upgrading from a lower-tier pass to a higher-tier pass, the lower-tier subscription will be automatically cancelled at the end of its current billing period. The higher-tier pass takes effect immediately.

(a) Age Requirement. You must be at least thirteen (13) years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

(b) Minors (Ages 13-17) as Viewers. • The parent or legal guardian is responsible for compliance with all applicable labor and tax laws in their jurisdiction relating to the minor's activities on the Platform.

(d) Parental Responsibility.Parents and legal guardians who consent to a minor's use of the Platform agree to be bound by these Terms with respect to the minor's account. StageX may require verification of parental consent at any time and may suspend or terminate a minor's account if adequate parental consent cannot be demonstrated.

(e) Content Advisory. The Platform contains user-generated content that may include explicit language, mature themes, and sexually suggestive (but not explicit) visual content in music, video, and audio. By using the Platform, you acknowledge and accept that such content may appear in your feed and across the Platform.

(d) You agree to notify StageX immediately of any unauthorized use of your account.

7. Content Ownership & License to StageX

(a) Your Content.You retain all ownership rights in the content you upload to the Platform, including videos, audio tracks, images, and text ("Your Content"). StageX does not claim ownership of Your Content.

  • Promoting and marketing the Platform, including featuring Your Content in advertisements, social media posts, App Store listings, press materials, and other promotional channels;
  • Adapting, reformatting, transcoding, or compressing Your Content for technical compatibility across devices, platforms, and network conditions (including creating multiple bitrate renditions for adaptive streaming);
  • Creating thumbnails, previews, trailers, and clips derived from Your Content for discovery and recommendation purposes.

(c) Duration. This license persists for as long as Your Content remains on the Platform and for a reasonable period thereafter (not to exceed ninety (90) days) to allow for removal from caches, backup systems, and content delivery networks.

(d) Representations. You represent and warrant that you have all rights, licenses, consents, and permissions necessary to grant the foregoing license and that Your Content does not infringe or violate the rights of any third party.

  • You are the sole owner of the audio recording and any underlying musical composition (lyrics and melody), OR you have obtained all necessary licenses, permissions, and clearances to distribute and monetize the audio content through the Platform;
  • For cover songs: you have obtained all required mechanical licenses for the underlying musical composition;
  • For remixes or derivative works: you have obtained all required permissions from the original rights holders;
  • For content containing samples: you have obtained all required sample clearances from the owners of the sampled recordings and compositions;
  • No performing rights organization (PRO), collective management organization (CMO), or other third party has exclusive rights that would prevent you from distributing the content through the Platform.

(b) Audio-Specific Liability. Audio content (particularly music) is subject to complex rights involving sound recording copyrights, musical composition copyrights, performance rights, mechanical rights, and synchronization rights. As the creator, you bear sole responsibility for ensuring all necessary rights are secured before uploading.

(a) Creator Responsibility. If you upload video or audio-visual content, you represent and warrant that:

  • All costs of defense, legal fees, settlements, judgments, and damages;
  • Direct communication and negotiation with rights holders or their representatives;
  • Compliance with all court orders, statutory notices, and other legal processes.

(b) Revenue Reimbursement. If content you uploaded is determined to be infringing (whether through legal proceedings, settlement, statutory process, or your own acknowledgment), you agree to reimburse one hundred percent (100%) of all gross revenue generated by the infringing content, meaning:

  • You must refund the full gross subscription revenue attributable to the infringing content, including both your ninety percent (90%) creator share and the ten percent (10%) platform fee retained by StageX;
  • StageX does not absorb any portion of the refund obligation — the creator is solely responsible for covering the entire amount;
  • This obligation survives termination of your account and these Terms.

(c) Indemnification. You agree to indemnify, defend, and hold harmless StageX, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to Your Content, including any claims of intellectual property infringement.
